One of Singapore’s active corporate finance teams across both the mid-market and “large cap” space, we are known for our incisive commercial acumen, our problem-solving approach, and our speed of execution. Our work ranges from Singapore equity and debt listings, to reverse takeovers, foreign IPOs, and secondary fundraisings.

Acted as Singapore adviser to the largest Nordic bond trustee in a US$270 million secured bond offering.
Acted as Singapore adviser to the largest Orange Bond to date: the Impact Investment Exchange Pte Ltd (IIX), in its various rounds of Bonds known as the Women’s Livelihood Bonds (WLB). Since its inaugural offering of the US$8.5 million WLB1 in 2017, it has been the world’s first gender-lens impact investing security listed on a stock exchange. To date, the WLB™ Series has mobilised US$228 million and is empowering 2,200,000 women and girls across emerging markets while providing consistent returns with no defaults recorded even during the COVID-19 pandemic. In 2023, IIX issued the sixth and largest bond in the Series, the US$100 million WLB6.
Advised ESR-LOGOS Funds Management (S) Limited (with around S$2.45 billion market capitalisation) in relation to the S$750 million Multicurrency Debt Issuance Programme as well as its consent solicitation exercise for change of trustee of ESR-LOGOS REIT.
Advised Freshfields, who represented Credit Guarantee and Investment Facility (CGIF) as guarantor in CJ Logistics Asia Pte Ltd’s inaugural S$70 million Singapore Dollar denominated, unsubordinated and guaranteed bonds offering, which is listed on the SGX-ST.
IPOs of Mooreast Holdings Ltd, MeGroup Ltd, MindChamps Preschool Limited, OUE Hospitality Trust, Pacific Radiance Ltd, World Class Global Limited, Valuemax Group Ltd, MoneyMax Financial Services Ltd, Halcyon Agri Corporation Limited, and Sheng Siong Group Limited (voted Best small-cap Equity Deal by Finance Asia).
Reverse takeovers transactions (RTOs), including advising the Board of Axington Inc in its RTO to acquire the computer peripherals business of mainboard-listed Serial Systems Ltd, the RTO of St James Holdings Limited and the RTO of Sky One Holdings Ltd.
Foreign capital markets work, including Singapore counsel to sustainable aquaculture group Barramundi in its global restructuring and listing on the Norway stock exchange, to major tonnage provider Gram Car Carriers, in its global restructuring and listing on the Norway stock exchange, to technology application and infrastructure solutions provider Infomina, on the Malaysian stock exchange and to energy management provider Technovator International, on the Hong Kong stock exchange.
Singapore counsel to NASDAQ-listed SPAC Worldwide Webb Acquisition Corp in its business combination with Aeris Technology Group, an Indian technology services company.
