Our Banking and Finance team has very broad experience structuring and negotiating complex financing deals, including in many cross-border transactions. Our expertise includes bilateral and syndicated loans, refinancings, acquisition financing and project financing. We are on the panel of many international and local banks, and also represent borrowers which include listed companies, large and government-linked conglomerates, and private high net worth individuals.
Notable Briefs
Acted as Singapore counsel to a syndicate of lenders in relation to their granting of facilities of up to A$1.14 billion to finance the acquisition of a pharmaceutical company.
Acted for TLW Success Ltd as borrower in relation to secured facilities of up to S$103 million to be used to, among other things, finance TLW Success Ltd’s voluntary conditional general offer for and compulsory acquisition of the shares in Singapore Medical Group Limited.
Acted as local counsel in a cross border secured loan financing of up to US$1 billion involving one of the largest Nordic bank as lender and a global shipping conglomerate.
Acted as local counsel for various financings involving GLP entities. GLP is a leading global business builder, owner, developer and operator of logistics real estate, data centres, renewable energy and related technologies with headquarters in every country in which they operate including Brazil, China, Europe, India, Japan, the US and Vietnam. They also have offices in Singapore and Hong Kong.
Acted for a Singapore bank on (i) a US$305 million revolving credit facility to the subsidiaries of a mainboard listed hotelier and investment holding company for the development of hotel resorts in the Maldives and (ii) on a US$176 million financing package to a PE firm for the development of two hotel resorts in the Maldives.
Acted as local counsel for a global petrochemicals manufacturer in its re-financing and borrowings of approximately €2 billion for the acquisition of new plants and assets, and for general corporate purposes.
Acted as local counsel for a confidential borrower group in respect of six pre-IPO facilities of £140 million and US$527 million with four Singaporean, British and American banks.
Acting as Singapore counsel to YTL Power International Berhad on the proposed acquisition of the power plant and associated assets of Tuaspring Pte Ltd by its subsidiary, Taser Power Pte Ltd as part of the PowerSeraya group.
