Stefanie Yuen Thio helms our Mergers and Acquisitions (M&A) department, playing a key role in the structuring and strategy of many complex cross-border acquisitions and divestments. TSMP has acquired a strong reputation as a market leader in public company M&As, advising offerors and financial advisers in some of the most high-profile corporate takeovers of SGX listed companies, including some of Singapore’s largest takeovers and corporate take-privates. We have also acted in the privatisations of Singapore’s power companies.
As one of the “go to” players in this arena, TSMP excels when called upon for cutting-edge high stakes transactions, sensitive negotiations or to deliver under extreme time pressures.
Notable Briefs
Acted for the shareholders of home-grown insurer Singapore Life Pte Ltd (Singlife) in its merger with Aviva Singapore in Singapore’s largest insurance deal, with a combined business valued at S$3.2 billion.
Represented HNA Holding Group in the S$1.4 billion voluntary general cash offer for one of Singapore’s largest logistic providers, CWT Ltd. Named best Cross Border M&A Deal in Southeast Asia 2017 and Best Deal for Minority Shareholders in Southeast Asia 2017 by Alpha Southeast Asia 2017.
Acting for Credit Suisse (Singapore) Limited, the financial advisor to Temasek Holdings, in the proposed S$2.1 billion recapitalisation of Sembcorp Marine through a rights issue, and the demerger of Sembcorp Industries and Sembcorp Marine.
Represented Halcyon Agri Corporation Limited in its US$1.58 billion merger with Sinochem International (Overseas) Pte Ltd’s natural rubber business, creating the world’s largest natural rubber supply chain manager.
S$13-billion take-over bid by Overseas Union Enterprise Ltd for Fraser & Neave Ltd, the largest takeover in Singapore’s corporate history.
Advised Credit Suisse (Singapore) Limited, the financial adviser to the offeree in the restructuring of Singapore Press Holdings into a public trust and the S$3.9 billion acquisition of Singapore Press Holdings.
Involved in the takeovers/privatisations of, SMRT Corporation Ltd, Neptune Orient Lines Ltd, Eu Yan Sang International Ltd, Poh Tiong Choon Logistics Ltd, Dynamic Colours Limited and Cogent Holdings Ltd.
Acted as local counsel to Stellar Asia Holdings II Pte Ltd, the fund managed by global investment firm Kohlberg Kravis Roberts & Co LP in its investment of up to approximately US$800 million for a 20% stake in ST Dynamo Investment Holdings Pte Ltd, the holding company for Singapore Telecommunications Limited’s regional data centre business.
